Terms of service
Last Updated:
Agreement to these terms
These Terms of Service (the "Terms") are a binding agreement between FinTria AI, registered with the Qatar Financial Centre, Doha, Qatar ("FinTria AI", "we", "us") and the organisation that creates a FinTria AI account or otherwise uses the Service (the "Customer", "you"). They govern access to fintria.ai, the FinTria AI accounts payable platform, its AI agents, the APIs, and any related support (together, the "Service").
By creating an account, signing an order form that references these Terms, or using the Service, you confirm that you have read them, that you agree to them, and that you have authority to bind the organisation you represent. If you do not agree, do not use the Service.
Where an order form or a separately signed agreement conflicts with these Terms, the signed document prevails for that Customer.
Definitions
A few terms are used with a specific meaning throughout:
- "Customer Data" - every document, invoice, purchase order, supplier record, ERP export, message and file you or your suppliers submit to the Service, and everything the Service derives from it for you.
- "Authorised User" - an employee, contractor or adviser of the Customer whom the Customer has invited into its workspace.
- "Agents" - the automated components of the Service that read, extract, match, check and prepare documents for human approval.
- "Output" - extracted fields, match results, flags, suggested approvals, summaries and any other result the Agents produce from Customer Data.
- "Order Form" - the document, quote or in-product plan selection that sets out the plan, fees and term you have chosen.
Eligibility and accounts
The Service is offered to businesses and other organisations, not to consumers. You must be at least eighteen years old and acting on behalf of an organisation to open an account.
You are responsible for everything that happens under your workspace: keeping credentials confidential, configuring roles and approval limits sensibly, removing people who leave, and telling us promptly at support@fintria.ai if you suspect an account has been compromised.
We may require identity or business verification before enabling certain features, such as supplier payment files or ERP posting.
The Service
FinTria AI captures invoices from a dedicated inbox or upload, extracts and validates their contents, matches them against purchase orders and receipts, routes them through the approval chain you configure, and posts approved results to your ERP - with every step recorded in an audit trail.
Parts of the Service are offered under early access. Early-access features may change, be withdrawn, or behave differently from their final form, and are provided on an "as available" basis. We will say clearly in the product when a feature is in early access.
We may update the Service at any time to improve it, keep it secure, or meet legal requirements. We will not materially reduce the core functionality you are paying for during a paid term without notice and a right to terminate.
AI features and human review
The Agents use machine learning and large language models to read documents and propose actions. They are good, and they are not infallible. Output is a recommendation for a person to check, not a decision the Service has taken on your behalf.
You remain responsible for every approval, payment and accounting entry made in your workspace, including those the Agents proposed. Configure approval limits, exception rules and segregation of duties so that a human with authority reviews what matters to you.
We do not use Customer Data to train the foundation models we or our providers offer to other customers. Model providers we rely on are contractually bound to the same restriction. See the Privacy Policy for details.
Customer Data and your responsibilities
Customer Data belongs to you. You grant us a limited licence to host, process, transmit and display it only as needed to provide the Service, to keep it secure, to support you, and as otherwise instructed by you.
You are responsible for having the right to submit Customer Data to the Service - including any personal data about your staff or your suppliers' staff - and for giving any notices or obtaining any consents your own laws require.
You will not submit data that is unlawful, that infringes third-party rights, or that you are not permitted to share with a processor. We may remove or refuse to process such data.
Acceptable use
You agree not to, and not to allow anyone else to:
- access the Service other than through the interfaces and APIs we provide, or attempt to probe, scan or test its security without written permission;
- reverse engineer, decompile or attempt to extract the models, prompts or source code that make up the Service;
- resell, sublicense or offer the Service as a bureau to third parties without an agreement with us;
- use the Service to send unsolicited mail, to store or spread malware, or to process data in breach of sanctions, anti-money-laundering or export-control laws;
- use Output to build or train a competing product;
- interfere with other customers' use of the Service or impose an unreasonable load on it.
Fees and payment
Fees are set out in your Order Form. Unless it says otherwise, fees are quoted in Qatari riyals or US dollars, invoiced in advance for each term, exclusive of taxes, and payable within thirty days of the invoice date.
Usage above the volumes included in your plan is billed at the rates in the Order Form. We will show you current usage in the product so nothing is a surprise.
Overdue amounts may incur interest at 1% per month or the highest rate the law allows, whichever is lower. If an invoice remains unpaid thirty days after we remind you, we may suspend the workspace until it is settled.
Fees for a paid term are non-refundable except where these Terms say otherwise, or where the law requires a refund.
Intellectual property
The Service, the Agents, the models and prompts behind them, our documentation and our brand are and remain our property or that of our licensors. Nothing in these Terms transfers them to you; you receive a non-exclusive, non-transferable right to use the Service during your term, for your internal business purposes, in line with these Terms.
If you send us suggestions or feedback, we may use them without obligation to you. We will not identify you as the source without your consent.
We may use your name and logo to identify you as a customer in a list of customers, unless you ask us not to in writing.
Confidentiality
Each of us will keep the other's confidential information - including Customer Data, pricing, roadmap and security details - confidential, use it only for the purposes of this agreement, and protect it with at least the care we use for our own information of similar sensitivity.
This does not apply to information that is public through no fault of the recipient, that the recipient already held lawfully, or that must be disclosed by law - in which case the recipient will, where allowed, give the other party notice and a chance to object.
Third-party services and integrations
The Service connects to systems you choose, including your ERP, your mail provider and your identity provider. Those systems are governed by their own terms. We are not responsible for their availability, their accuracy, or changes they make that affect an integration, though we will work in good faith to keep connections working.
By connecting an integration you authorise us to exchange Customer Data with it on your behalf, within the permissions you grant.
Warranties and disclaimers
We warrant that the Service will perform materially as described in our documentation and that we will provide it with reasonable skill and care. If it does not, tell us and we will use reasonable efforts to correct it; if we cannot, you may terminate the affected subscription and receive a pro-rated refund of prepaid fees for the remaining term. That is your sole remedy for breach of this warranty.
Except for that warranty, and to the extent the law allows, the Service is provided "as is". We do not warrant that it will be error-free or uninterrupted, that Output will be accurate or complete, or that it will meet every requirement of your accounting, tax or regulatory regime. You remain responsible for your own compliance.
Limitation of liability
Neither party is liable to the other for any indirect, consequential, special or punitive loss, or for loss of profit, revenue, goodwill or data, however arising, even if advised of the possibility.
Each party's total liability under or in connection with these Terms in any twelve-month period is limited to the fees the Customer paid or owed for the Service in that period.
These limits do not apply to liability that cannot be limited by law, to a party's breach of its confidentiality obligations, to the Customer's payment obligations, or to either party's wilful misconduct.
Term, suspension and termination
Your subscription runs for the term in the Order Form and renews automatically for the same period unless either party gives notice at least thirty days before the renewal date.
Either party may terminate for material breach if the breach is not cured within thirty days of written notice. We may suspend access immediately where necessary to protect the Service, other customers, or to comply with the law, and will tell you why as soon as we reasonably can.
On termination, your right to use the Service ends. You can export Customer Data for thirty days after the end of the term; after that we delete it from active systems within a further sixty days and from backups on their normal cycle, unless the law requires us to keep it. Sections that by their nature should survive - including fees owed, confidentiality, intellectual property and limitation of liability - survive termination.
Changes to these Terms
We may revise these Terms from time to time. For material changes we will give at least thirty days' notice by email to your workspace administrators and in the product. If you do not accept a material change, you may terminate the affected subscription before it takes effect and receive a pro-rated refund of prepaid fees. Continued use after the effective date is acceptance of the revised Terms.
Governing law and disputes
These Terms are governed by the laws of the Qatar Financial Centre and, where they are silent, the laws of the State of Qatar. Any dispute that we cannot resolve through good-faith discussion within thirty days will be submitted to the exclusive jurisdiction of the Qatar Financial Centre Civil and Commercial Court.
Nothing in this section prevents either party from seeking urgent injunctive relief in any competent court.
General
These Terms, the Privacy Policy, the Cookie Policy and your Order Form are the whole agreement between us on their subject matter. If any part is found unenforceable, the rest continues in force. Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of substantially all of its assets. A failure to enforce a right is not a waiver of it. Notices to us go to hello@fintria.ai; notices to you go to your workspace administrators' email addresses.
